Please read these Terms of Service carefully as by accessing and using this website and/or undertaking a contract you are deemed to have read, understood and agreed to the following disclaimer and the Terms of Service and to the exclusive jurisdiction of the English courts in all disputes. Stated exclusions and limitations apply only to the extent permitted by law. Your statutory consumer rights are unaffected.
The following terminology applies to these Terms of Service, Privacy Statement and Disclaimer and to any and all agreements. An individual or business accessing the Digital Impulsion website or requesting work from Sarah Watson - Digital Impulsion will be referred to as ‘the Client’, ‘You’ or ‘Your’. ‘The Company’, ‘Ourselves’, ‘We’ ‘Our’ or ‘Us’ refers to Digital Impulsion. These Terms of Service form part of the contract between Sarah Watson - Digital Impulsion and the Client.
All terms refer to the offer, acceptance and consideration of payment necessary to undertake assistance and provide the agreed services to the Client in the most appropriate manner, in accordance with and subject to, prevailing English Law. If any of these terms are deemed invalid or unenforceable for any reason then then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of Digital Impulsion to enforce any of the provisions set out in these Terms of Service and any Agreement shall not be construed as waiver of such provisions and shall not affect the validity of these Terms of Service or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision.
The information contained on this website is for information purposes only and is provided on an ‘as is’ basis. All information posted is intended for the purposes of further discussion and enquiry.
By accessing and using this website you acknowledge and agree that use of this website and the content is entirely at your own risk. Digital Impulsion gives no warranties.
Limitation of Liability and Indemnity
To the fullest extent permitted by law Digital Impulsion disclaims any and all liability and does not provide any representations or warranties relating to our website and its contents or that which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature.
Digital Impulsion expressly disclaims any and all liability for any injury, loss, damage (including indirect, incidental or consequential damages) or expense arising in any manner whatsoever from the acts, omissions or conduct of any third-party user and any use or inability to use any systems, content, software or services made available at any website linked to or from this website.
We will not be liable for any direct, indirect, incidental, consequential, loss, damage, corruption, theft or loss of data or documents, loss of profits, loss of business, or loss of anticipated savings, damage to your computer, software, systems or programs, resulting from our equipment failure, or your access to, or use of our website or content, linked websites, or inability to use our systems, however it arises.
You agree to indemnify, defend and hold harmless Digital Impulsion from and against any and all claims, demands, liabilities, costs or expenses whatsoever, including, without limitation, legal fees and disbursements resulting directly or indirectly from your breach of any of the terms of Service of this agreement; or your access, use or inability to access the Digital Impulsion website.
Clients have sole responsibility for adequate protection and back up of data and equipment used and will not make a claim against Digital Impulsion for lost data, re-work time, inaccurate instructions, delay to work or a loss in profits resulting from a contract.
Digital Impulsion will not be held liable or responsible for the end use of any document or work completed by us.
Confidentiality and Data Protection
Confidentiality is guaranteed at all times. All Client documents provided to Digital Impulsion will remain confidential and the copyright of their business. All work will be kept on file for a period of 12 months, after this time, work will be deleted unless specifically instructed otherwise.
Digital Impulsion (Sarah Watson) is registered under the Data Protection Act 1998 and as such, any information concerning the Client and their respective Client Records may not be passed to third parties. Client records are regarded as confidential and therefore will not be divulged to any third party, other than if legally required to do so to the appropriate authorities. We will not sell, share, or rent your personal information to any third party.
Digital Impulsion is committed to protecting your privacy. Only authorised agents within the company operating under a need to know basis, access information collected from individual customers. We constantly review our systems and data against new technologies and business practices to ensure the best possible service to our customers.
You give informed consent to enable Digital Impulsion to communicate with you on confidential matters by email, unless you have asked us not to do so. Digital Impulsion may retain the content of your email messages together with your email address and our responses. Digital Impulsion cannot be responsible for the security of correspondence and documents sent by email. Digital Impulsion may also use email to notify you about important changes to our website, new services, and special offers that may be of value. The Client can request to be removed from marketing information at any time.
Internet Security and Virus Protection
Digital Impulsion cannot and does not make any guarantee concerning the security of information sent or received over the internet, and cannot and does not make any representation or warranty against the interception by third parties of personal or other information.
All documentation will be scanned using anti-virus software but Digital Impulsion cannot guarantee that all electronic data of Digital Impulsion is virus free. The Client assumes responsibility for installation and implementation of anti-virus protection on their own equipment. You understand that although every care is taken by Digital Impulsion no guarantee is given that downloading files from our online systems of using Digital Impulsion site are virus free.

All information displayed on this website, including, articles, text, and the full content of the website itself are protected under United Kingdom Copyright laws and other relevant intellectual property rights and are owned by Digital Impulsion. You may not copy, modify, or reproduce the material on this site in any manner whosoever.
You may not create a link to any page of this website without our prior written consent.
Digital Impulsion may promote services or products or link to other websites. These recommendations are based solely upon the belief that the service or product offers useful information and is a reputable company. Provision of Services
Consultations and quotations are free and are carried out by email, telephone or Skype. Written quotations will be provided and Digital Impulsion reserves the right to update quotations if the Client’s original brief changes.
Digital Impulsion retains the right to reject work which involves material we feel is illegal, immoral or objectionable.
A signed Service Agreement contract is required before the commencement of work. The Client will indicate acceptance by e-signature and together with these Terms of Service will form the contract.
All work will be scheduled for completion within agreed deadlines. Digital Impulsion will not schedule work until all essential information is received. The Client will ensure that all paperwork and information necessary to complete the task is provided.
Delivering Work to You
All work will be completed by agreed deadlines unless previously notified by Digital Impulsion. The Client has final responsibility to proofread, check and approve documents.
Digital Impulsion is not currently VAT registered.
On-going monthly contracts will be invoiced in advance at the beginning of the month and standard payment terms must be met.
Our terms are payment in full within 14 days of invoice unless otherwise stated. Payment can be made by BACS transfer. Payments must be made in UK pounds. All documents produced remain the property of Digital Impulsion until paid for in full.
Invoices will be produced in advance of commencing a task (unless otherwise agreed), either ad-hoc or on a monthly basis.
In an instance of unpaid monies aged over 30 days Digital Impulsion reserves the right to cease services with immediate effect, and not return work, and/or terminate the arrangement, until such time as any and all outstanding monies, inclusive of interest and fees are recovered in full.
Digital Impulsion reserves the right to seek recovery of any monies remaining unpaid for sixty days from the date of invoice via collection agencies and/or through the Small Claims Court. In such circumstances, the Client shall be liable for all additional administrative and court costs.
All costs incurred, including time spent, chasing and/or recovering the outstanding payment will be added to the Clients account. If the Invoice is 30 Days Overdue a 5% interest fee will be added to the total amount owed. If the Invoice is 45+ Days Overdue a 10% interest fee will be added to total amount owed.
If future work is agreed to, Digital Impulsion shall insist on payment in advance only.
The charging and credit policy may be reviewed and Clients will be notified of any amendments by email.
Cancellation Policy and Refunds Policy
Both the Client and Digital Impulsion have the right to terminate any agreement for any reason, including the ending of services that are already underway. Notice is not required from the Client to terminate the agreement, however, if the Client would like to terminate the agreement, they must send written confirmation via email, and outstanding accounts must be settled within 14 working days from receipt of invoice. Where a Service is deemed to have begun and is underway Digital Impulsion will invoice immediately for work completed to date and standard payment terms to be met by the Client. Any monies that have been paid to Digital Impulsion which constitute payment in respect of the provision of unused Services shall be refunded.
Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.
